CrewClaro Terms of Service
Effective date: October 9, 2026
Welcome to CrewClaro. These Terms of Service ("Terms") are a binding agreement between you and Fluks Tech Inc, a Delaware corporation ("Fluks Tech," "we," "us," or "our"), governing your access to and use of the CrewClaro application, websites, and related services (collectively, the "Service").
PLEASE READ THESE TERMS CAREFULLY. THEY INCLUDE AN ARBITRATION AGREEMENT AND CLASS ACTION WAIVER (SECTION 17) THAT AFFECT YOUR LEGAL RIGHTS. SUBSCRIPTIONS AUTOMATICALLY RENEW UNTIL CANCELLED (SECTION 5).
1. Acceptance of These Terms
By creating an account, clicking "I agree," or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 years old and legally capable of entering a binding contract to use the Service. By using the Service, you represent that you meet these requirements. The Service is not directed to anyone under 18, and accounts belonging to anyone under 18 may be terminated.
3. Use on Behalf of an Organization
If you access or use the Service on behalf of a company or other organization (for example, your employer purchases or administers your subscription, or you join an organization or its projects):
- you represent that you have authority to bind that organization to these Terms, and "you" includes that organization;
- the organization is the customer for the subscription and office seats it pays for;
- projects, and the scopes, schedules, assignments, and similar records within them, belong to the organization whose member created them; they are managed by the organization's owner and its seated members, who decide who can take part, and people they invite may view and contribute to the project as the Service allows;
- projects stay with the organization when a member leaves it or deletes their account while the organization continues; when you join another organization by invitation, you choose whether your projects move into it (it then owns and manages them, and you need a seat to manage them yourself) or stay behind; either way, your insurance certificates, the shares of them you have granted, and your organization's pending team invitations move to the organization you join, except that where it already has a current certificate of the same type only the newer one stays active, shares granted to that organization itself end, and duplicate shares or invitations are reduced to one; your profile's company name changes to that organization's name; you can join another organization by invitation only if you are the sole member of your own organization (otherwise contact support), and not while your own organization has a live subscription, so you must first cancel it and wait for the billing period to end;
- when an organization is closed, its open bids, bid invitations and pending schedule proposals are closed and its projects become read-only for everyone; projects in which someone outside the organization was assigned work, or had a bid or bid invitation still open when the organization closed ("outside participants"), remain available, read-only, to those outside participants; if you leave your projects behind when you join another organization, your former organization is closed and you keep read-only access to the projects you created in it and may request an export of them; when an organization's last member deletes their account, or a joiner who left projects behind deletes theirs, the organization's projects that have no outside participants are deleted (the joiner does not count as outside their former organization, so the projects they left behind are deleted if they have no other outside participants) and the rest remain, read-only, for their outside participants;
- the organization's owner manages its subscription, invites members, and assigns office seats; if other members remain in the organization, the owner must choose one of them to become owner before deleting their own account;
- the organization is responsible for having the legal right (including any consents required from its personnel) to submit its personnel's information to the Service;
- the organization is responsible for ensuring that every user it adds to its organization meets the eligibility requirements in Section 2, including the minimum age; and
- if these Terms are inconsistent with a separate written agreement between the organization and Fluks Tech, the separate agreement controls for that organization.
4. Accounts and Security
You must provide accurate information when creating an account and keep it current. You are responsible for safeguarding your credentials and for all activity under your account. Notify us immediately at support@crewclaro.com of any unauthorized use. We may suspend accounts that we reasonably believe are compromised.
By creating an account, you consent to receive service-related text messages from us or our providers at the phone number you provide — such as one-time verification and login codes. Message and data rates may apply. These messages are operationally necessary to the Service and are not marketing messages.
5. Subscriptions, Billing, and Automatic Renewal
5.1 Plans and seats. The Service is offered on a per-seat subscription basis. Office seats — required to create projects, scopes, and similar content — are US $30 plus applicable tax per seat per month, billed monthly. Field-member accounts are free, and organizations may join and participate in projects created by other organizations at no charge. Sending messages in a conversation requires that at least one participant in it has an active office seat (or is the owner of an organization in its free trial under Section 5.4), whichever organization that participant belongs to; reading conversations and receiving workflow updates is always available. Prices exclude taxes. Where the law requires us to collect sales or similar taxes, we will add them to your invoice; otherwise, you are responsible for any taxes that apply to your purchase.
5.2 Automatic renewal. UNLESS YOU CANCEL BEFORE THE END OF THE CURRENT BILLING PERIOD, YOUR SUBSCRIPTION AUTOMATICALLY RENEWS FOR SUCCESSIVE PERIODS OF THE SAME LENGTH, AND YOUR PAYMENT METHOD WILL BE CHARGED THE THEN-CURRENT PRICE AT THE START OF EACH RENEWAL PERIOD.
5.3 Seat changes. You may add or remove office seats at any time through your account settings. Added seats incur an immediate prorated charge for the remainder of the current billing period and are included in subsequent renewals. Removing office seats takes effect immediately, and removed seats can no longer be assigned. You cannot reduce the number of seats in the app below the number currently assigned to members; if you reduce it in the payment portal, seats above the new number are unassigned automatically. Any credit for the unused part of the billing period is applied to your future invoices and is not paid out in cash.
5.4 Free trial. New organizations receive a 30-day free trial of one office seat for the organization's owner. The trial starts when you create your account and is attached to the organization created for you at that time, not to your first use of office-seat features. No payment method is required for the trial, and you will not be charged automatically: when the trial ends, the trial seat expires and office-seat features become unavailable unless you purchase an office seat; you can continue using the Service as a free field member. We may limit trials to one per organization or person, may refuse or end a trial that we reasonably believe repeats an earlier one, and may modify or discontinue trials at any time.
5.5 Price changes. We may change subscription prices with at least 30 days' advance notice. Changes take effect at your next renewal. If you do not agree, cancel before the renewal takes effect. If we have committed to a specific price for your organization in writing (for example, founding-customer pricing), that commitment controls over this Section 5.5 for as long as its stated conditions are met.
5.6 Payment. You authorize us and our payment processor to charge your payment method for all fees due. If a charge fails, our payment processor may retry it, and your organization keeps full access while retries continue. Access to office-seat features ends if the subscription becomes unpaid, expires, or is paused, or if we have received no confirmation of payment for more than 30 days after the end of the billing period; you can continue using the Service as a free field member, and access is restored when payment succeeds.
6. Cancellation and Refunds
6.1 Cancellation. The organization's owner may cancel at any time online, without contacting support, from the billing page on our website (where available, the mobile apps may link to it), or by emailing support@crewclaro.com. Cancellation takes effect at the end of the current billing period; you retain access until then. If the owner of an organization with no other members deletes their account, the organization's subscription is cancelled immediately, without a refund for the rest of the billing period. If an owner who has chosen a successor (Section 3) deletes their account, the organization's subscription continues and the successor takes it over; the successor should update the payment method in the billing portal, and the payment method on file will continue to be charged until they do.
6.2 Refunds. Except where required by law, as provided in Section 13(c), or as credits for removed seats under Section 5.3, all fees are non-refundable, and no refunds or credits are provided for partial billing periods, unused seats, or periods during which the Service was not used.
7. Mobile Apps
If you download CrewClaro from the Apple App Store or Google Play, the app store's terms also apply to your use of the app. Subscriptions are not sold through the app stores: they are purchased, managed, and cancelled on our website under Sections 5 and 6, and Apple and Google play no part in billing or refunds.
We may update the apps automatically, including by over-the-air updates delivered without a new app-store release. Some features or actions may require the current version of the app.
For iOS users: these Terms are between you and Fluks Tech only, not Apple. Apple has no obligation to provide maintenance or support for the app and is not responsible for addressing any claims relating to it (including product liability, legal compliance, or IP infringement claims). Apple is a third-party beneficiary of these Terms and may enforce them against you.
8. Your Content and Data
8.1 Ownership. You retain ownership of the content and data you submit to the Service ("Customer Content"), including content you add to a project of an organization you do not belong to. We claim no ownership of it. By sharing content with other users through the Service (including in projects and conversations), you grant the people you share it with a non-exclusive, royalty-free, perpetual license, irrevocable as to content already shared, to view, use, and keep it for the purposes for which it was shared, including after you leave the project or delete your account. Members grant their organization the same license for content in its projects; contributors from other organizations keep ownership of what they submit and grant the project's organization the same license.
8.2 License to us. You grant Fluks Tech a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and back up Customer Content solely to provide, secure, and improve the Service and as otherwise permitted by our Privacy Policy. To provide the Service, Customer Content is processed by third-party artificial-intelligence providers acting on our behalf: messages, bid notes, scope names, and task names are translated automatically (using Anthropic); voice messages are transcribed and re-spoken as synthesized audio (using OpenAI); and insurance documents you upload are analyzed to pre-fill certificate fields (using Anthropic). Original messages, recordings, and documents are kept and remain available alongside the translated, transcribed, synthesized, or extracted versions.
AI-generated translations and transcriptions may be inaccurate. Do not rely on them to establish contractual obligations or interpret safety-critical instructions; verify the meaning with the original author before acting.
8.3 Responsibility. You are responsible for the accuracy and legality of Customer Content and for having the rights needed to submit it.
8.4 Feedback. If you send us suggestions or feedback, we may use them without restriction or obligation to you.
8.5 Data export and deletion. While your account is active, you may request an export by emailing support@crewclaro.com: you may request the Customer Content you submitted, and an organization's owner may request the organization's records, including its projects. If you left your projects behind when you joined another organization, you may request the projects you created in your former organization. We will provide the export in a commonly used, machine-readable format. Ending a subscription does not delete Customer Content. If you delete your account, your personal data and private conversations are deleted from the live Service immediately; projects stay with your organization. If you are the only member of your organization, the organization is closed too: its records (including uploaded insurance documents) and its projects that have no outside participants (as defined in Section 3) are deleted, and its other projects remain, read-only, for their outside participants. The same applies if you left projects behind when you joined another organization and later delete your account: your former organization's projects that have no outside participants other than you are deleted, and the rest remain, read-only, for their outside participants. None of this can be exported afterwards. Messages and project records shared with other people remain, without your name. Residual copies in backups and logs are removed on our normal cycle (within about 90 days). We keep records of reports and moderation actions, and evidence preserved for legal reasons, as described in our Privacy Policy; deletion is also subject to billing records and anything else we are required by law to retain.
8.6 User-to-user content. The Service includes features (such as messaging and file or photo uploads) through which users share content with other users in their organization or projects. We do not pre-screen user content and are not responsible for it, but we may remove or restrict access to any content that we reasonably believe violates these Terms or applicable law. You are solely responsible for the content you share.
8.7 Copyright complaints (DMCA). If you believe content on the Service infringes your copyright, send a notice complying with 17 U.S.C. § 512(c)(3) to our designated agent at legal@crewclaro.com / Copyright Agent, Fluks Tech Inc, 1391 Kildaire Farm Road, PMB 1086, Cary, NC 27511, United States. We will respond to valid notices, may remove the identified material, and will terminate the accounts of repeat infringers. Users whose content is removed may submit a counter-notice under 17 U.S.C. § 512(g).
8.8 Insurance certificates. Insurance certificates and their details are self-reported by the users and organizations that upload them. We do not verify them, and fields pre-filled automatically from an uploaded document may be wrong. You must not rely on a certificate shown in the Service as proof of coverage; confirm coverage independently with the insurer or broker. When you share a certificate, you grant access to the entire recipient organization, not only the person you share it with; that access is live, reflects later changes to the certificate, and lasts until you revoke it. We may send expiry reminders by push notification and email.
9. Acceptable Use
You will not, and will not permit anyone to: (a) use the Service in violation of law or these Terms; (b) upload malicious code or interfere with the Service's operation or security; (c) attempt to access accounts, organizations, projects, or systems without authorization; (d) reverse engineer, decompile, or copy the Service except as permitted by law; (e) resell, sublicense, or provide the Service to third parties as a service bureau; (f) scrape or harvest data from the Service; (g) use the Service to send spam or unlawful communications; (h) use the Service to develop a competing product; (i) misrepresent your identity or affiliation; (j) share content through the Service that is harassing, threatening, defamatory, sexually explicit, or otherwise unlawful or objectionable; or (k) share content that infringes anyone's intellectual property, privacy, or other rights. If you submit contact details from your address book so the Service can find people you know who already use it, or ask the Service to send an invitation to someone, you represent that you have the right to share those details and to have that invitation sent. We may investigate violations and suspend or terminate offending accounts.
9.1 Reporting, blocking, and moderation. You can report users and content in the app and block other users. We review reports and may remove content, restrict access, suspend accounts, or terminate them. If your account is suspended, you may appeal by emailing support@crewclaro.com; there is no in-app appeal. We keep reports, the reported content, preserved evidence, and records of moderation actions, including after the accounts involved are deleted.
10. Our Intellectual Property
The Service — including software, design, text, graphics, logos, and trademarks (excluding Customer Content) — is owned by Fluks Tech or its licensors and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service as permitted by these Terms and your subscription. All rights not expressly granted are reserved.
11. Third-Party Services
The Service may interoperate with or link to third-party services. We are not responsible for third-party services, and your use of them is governed by their own terms.
12. Privacy
Our Privacy Policy describes how we collect, use, and share personal information, and is incorporated into these Terms by reference.
13. Term, Suspension, and Termination
These Terms apply while you use the Service. You may stop using the Service at any time and may delete your account in the app (if your account is suspended, email support@crewclaro.com and we will delete it for you; an organization owner with other members must first choose a successor owner, as described in Section 3). We may suspend or terminate your access (a) for material breach of these Terms that is not cured within a reasonable time after notice (or immediately for serious breaches, such as violations of Section 9 or unlawful use); (b) if required by law; or (c) if we discontinue the Service, in which case we will provide reasonable advance notice and, for prepaid periods, a pro-rata refund. Subscription fees continue to accrue while an account is suspended, and fees are not refunded if we terminate an account for breach of these Terms. Sections that by their nature should survive termination (including 8.4, 8.5, 10, and 14–18) survive.
14. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLUKS TECH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. THE SERVICE IS A COORDINATION AND MANAGEMENT TOOL; YOU ARE RESPONSIBLE FOR YOUR OWN COMPLIANCE WITH LAWS APPLICABLE TO YOUR BUSINESS, INCLUDING EMPLOYMENT AND SCHEDULING LAWS.
THE SERVICE INCLUDES AUTOMATED TRANSLATION OF USER CONTENT (INCLUDING CHAT MESSAGES), TRANSCRIPTS AND SYNTHESIZED AUDIO OF VOICE MESSAGES, AND INSURANCE-CERTIFICATE FIELDS PRE-FILLED FROM UPLOADED DOCUMENTS (TOGETHER, "AI OUTPUT"), GENERATED BY ARTIFICIAL INTELLIGENCE AND MACHINE-TRANSLATION TECHNOLOGY WITHOUT HUMAN REVIEW. AI OUTPUT IS PROVIDED FOR CONVENIENCE ONLY AND MAY BE INACCURATE, INCOMPLETE, OR MISLEADING; THE ORIGINAL MESSAGE, RECORDING, OR DOCUMENT, NOT THE AI OUTPUT, CONTROLS. YOU ASSUME ALL RISK OF RELYING ON AI OUTPUT, AND YOU ARE SOLELY RESPONSIBLE FOR INDEPENDENTLY VERIFYING ANY INSTRUCTION, SAFETY-RELATED COMMUNICATION, OR OTHER IMPORTANT INFORMATION BEFORE ACTING ON IT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLUKS TECH IS NOT LIABLE FOR ANY LOSS, INJURY, OR DAMAGE ARISING FROM AI OUTPUT OR ACTIONS TAKEN IN RELIANCE ON IT.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) FLUKS TECH WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL; AND (B) FLUKS TECH'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE OR ONE HUNDRED U.S. DOLLARS ($100). THESE LIMITS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
16. Indemnification
If you use the Service on behalf of an organization, that organization will defend and indemnify Fluks Tech against third-party claims arising from Customer Content submitted by its members or its violation of these Terms or applicable law.
17. Dispute Resolution; Binding Arbitration; Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY — IT REQUIRES INDIVIDUAL ARBITRATION OF MOST DISPUTES AND WAIVES CLASS ACTIONS AND JURY TRIALS.
17.1 Informal resolution first. Before filing a claim, you and we agree to try to resolve the dispute informally: send a written notice describing the dispute to legal@crewclaro.com (we will send notice to the email address on your account or, if none, by text message to your verified phone number or by in-app notice), and both parties will negotiate in good faith for 60 days. This is a prerequisite to starting arbitration or litigation.
17.2 Arbitration agreement. Any dispute arising out of or relating to these Terms or the Service that is not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (or Commercial Arbitration Rules for organizational customers), rather than in court. The Federal Arbitration Act governs this Section. The arbitrator has exclusive authority to resolve disputes about the interpretation or enforceability of this Section, except that a court decides the enforceability of the class waiver in 17.4. Arbitration will be conducted by videoconference or, if an in-person hearing is required, in the county where you reside. AAA fees will be allocated under the applicable AAA rules; we will pay fees the rules require us to pay.
17.3 Exceptions. Either party may (a) bring an individual claim in small claims court, or (b) seek injunctive relief in court for infringement or misuse of intellectual property or unauthorized access to the Service.
17.4 Class action and jury waiver. ALL DISPUTES MUST BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OR PRESIDE OVER ANY REPRESENTATIVE PROCEEDING. YOU AND FLUKS TECH EACH WAIVE THE RIGHT TO A JURY TRIAL. If the class waiver is found unenforceable as to a particular claim, that claim (and only that claim) proceeds in court, and the rest remain in arbitration.
17.5 Mass arbitration (batching). If 25 or more similar arbitration demands are filed by or with the assistance of the same or coordinated counsel, the demands will be resolved in staged proceedings: 10 cases selected by each side proceed first as bellwethers; remaining cases are stayed (and applicable statutes of limitations tolled) until the bellwethers conclude, after which the parties will engage in a global mediation before further cases proceed. A court may enforce this subsection.
17.6 30-day opt-out. You may opt out of this arbitration agreement (17.2, 17.4, 17.5) within 30 days of first accepting these Terms by emailing legal@crewclaro.com or contacting support through the app or our support page, stating your name, account email or verified phone number, and intent to opt out. Opting out does not affect any other provision of these Terms.
17.7 Severability. Except as stated in 17.4, if any part of this Section is found unenforceable, the remainder stays in effect.
18. Governing Law and Venue
These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-laws rules, except that the Federal Arbitration Act governs Section 17. For disputes not subject to arbitration, the state and federal courts located in New Castle County, Delaware have exclusive jurisdiction, and the parties consent to personal jurisdiction there. Nothing in this Section deprives you of protections of the consumer laws of your state of residence.
19. Changes to These Terms
We may update these Terms from time to time. For material changes, we will give at least 30 days' notice by email or in-app notice before the changes take effect. Changes to Section 17 will not apply to disputes that arose before the change. Your continued use of the Service after changes take effect constitutes acceptance; if you do not agree, cancel your subscription before the effective date.
20. General
These Terms, together with the Privacy Policy and any order or plan terms you accept, are the entire agreement between you and Fluks Tech regarding the Service. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Our failure to enforce a provision is not a waiver. If any provision is unenforceable, the rest remain in effect. Notices to us go to legal@crewclaro.com or Fluks Tech Inc, 1391 Kildaire Farm Road, PMB 1086, Cary, NC 27511, United States; notices to you go to the email address on your account or, if none, by text message to your verified phone number or by in-app notice. We are not liable for delays or failures caused by events beyond our reasonable control.
